Practice Asessment

Analysis Conducted

We will conduct a detailed analysis of the following components:

  • Practice Revenue drivers (service mix/volume, membership counts, performance and payment data),

  • Payor/MSO/IPA contracts,

  • Cost structure (fixed and variable expenses, including debt and financing costs/strategies), 

  • Staffing Ratios/Metrics,

  • Profit Margin,

  • Growth/Marketing Strategy, and

  • Technology and Processes.

Standard Process

The Standardized Process we implement involves four (4) primary steps:

  • Due Diligence Request List and Data Room set-up: Practice to provide data from request list via data room.

  • Practice Questionnaire: Practice to participate in weekly meeting with AHA during Assessment Phase.

  • Live “Diligence” Meetings: Template agenda with recurring weekly meetings.

  • Access to Data: Practice to provide AHA access to certain tools (like EMR, Accounting System, etc.) where AHA can pull recurring reports.

  • Identify Payors who offer ACA or Medicaid products with PCP Cap and/or Shared Savings​,
  • Identify ACOs with similar characteristics as above,

  • Identify Patient count, Patient Cohorts and Demographics within targeted drive times from Medical Center(s),

  • For each Patient Cohort, identify the sales/marketing channels that are the most effective​,

  • Analysis of relevant competition​

The Standardized Process we implement involves two (2) primary steps:

  • Build Payor, MSO, IPA, ACO, analysis via CMS and vendor data and market intel/research,

  • Load practice’s patient and location data into proprietary software system to complete Patient Cohort Demand/ Supply, Marketing, Hospital and Competition analysis

  • Develop Confidential Information Memorandum (CIM) and Teaser,

    • Clearly demonstrate practice’s historical growth, pro forma EBITDA,

    • Capture EBITDA adjustments based on changes to contractual rates if applicable,

  • Build Data room during Practice Transformation Process,

  • Shop Transaction (Distribute Process Letter, Teaser and NDA to PCP Aggregators (buyers),

    • Negotiate LOIs and select best overall deal (weighing economics, deal terms and ability of buyer to complete transaction),

  • Manage Transaction Process

    • Communicate with buyer during weekly calls,

    • Communicate with 3rd party due diligence providers,

    • Move deal documents forward,

    • Provide guidance on tax efficiency of transaction in conjunction with seller’s tax/financial advisor

    • Develop transition / integration plan upon deal close
